Huddly AS – Minutes from Extraordinary General Meeting
Oslo, 22 January 2025: Reference is made to the stock exchange announcement by Huddly AS ("Huddly" or the "Company", ticker: HDLY) on 7 January 2025, regarding notice of an extraordinary general meeting in the Company, and on 18 January 2025 regarding the proposed composition of the board of directors of the Company. The extraordinary general meeting was held today, on 22 January 2025 at 10:00 hours (CET).
The extraordinary general meeting, inter alia, resolved to adopt a consolidation of the Company's shares (reverse share split) in the ratio of 100:1. To facilitate the share consolidation, the general meeting resolved to issue an authorization to the board of directors of the Company to increase the Company's share capital by up to NOK 0.061875 through the issuance of up to 99 new shares, each with a nominal value of NOK 0.000625, in order to obtain a total number of shares divisible by 100. The Company will issue a separate stock exchange announcement with the key dates for the reverse share split once such dates have been determined by the board of directors.
The proposals regarding (i) the election of a new board of directors and (ii) a new provision in the articles of association on the establishment of a nomination committee, were also adopted.
